《用户协议》（以下简称“本协议”）是您（或称“用户”，指注册、登录、使用、浏览本服务的个人或组织）与易康码网站、易康码微信公众平台及相关小程序、易康码应用程序、易康码支付工具等（以下简称“易康码”或“易康码平台”）之间关于易康码服务所订立的协议。

The terms and conditions (“Agreement”) in connection with the E-Wellness ID services are entered into between you (or “User”, which refers to an individual or organization that registers, logs in, uses and browses the service) and E-Wellness ID website, E-Wellness ID WeChat public platform and in-app applets, E-Wellness ID app and payment tools, (“E-Wellness ID” or “E-Wellness ID Platform”).

 

易康码在此特别提醒用户认真阅读、充分理解本协议中各条款，包括免除或者限制易康码责任的免责条款及对用户的权利限制条款。请您审慎阅读并选择接受或不接受本协议（未成年人应在法定监护人陪同下阅读）。除非您接受本协议所有条款，否则您无权注册、登录或使用本协议所涉相关服务。您的注册、登录、使用等行为将视为对本协议的接受，并同意接受本协议各项条款的约束。

E-Wellness ID particularly reminds users to read and fully understand the terms of this Agreement, including the exemption or limitation of E-Wellness ID’s liability and the limitation of the user’s rights. Please read carefully and check to accept or not to accept this Agreement (a minor should be accompanied by his/her legal guardian to read). Unless you accept all the terms of this Agreement, you are not authorized to register, log in or use the services covered by this Agreement. Your  actions such as registration, login and use will be deemed to be your acceptance of this Agreement and agreement to be bound by each of its terms.

 

您对本协议的接受即自愿接受全部条款的约束，包括接受易康码对任一服务条款随时所做的任何修改。本协议可由易康码随时更新，更新后的协议条款将通过在平台上公布或以其他方式通知您，一旦公布即代替原来的协议条款。在易康码修改本协议相关条款之后，如果用户不接受修改后的条款，请立即停止使用易康码提供的服务，用户继续使用易康码提供的服务将被视为已接受了修改后的协议。

Your acceptance of this Agreement shall mean that your willingness to be bound by all the terms hereunder, including any modification at any time made by E-Wellness ID of any service terms. This Agreement may be updated from time to time by the E-Wellness ID. The updated terms shall be notified to you through platform publication or other ways. Once published, the earlier version shall be superseded. After the modification of the relevant terms of this Agreement, if the user does not accept the modified terms, please immediately stop using the services provided by the E-Wellness ID. Any continual use of the services provided by the E-Wellness ID shall be deemed to be acceptance of the modified agreement.

 

1. 用户使用规则

User Instructions

 

• 您无需注册账户即可浏览易康码平台。但某些功能、产品、程序、服务需要您注册易康码账户。如果您想使用易康码平台、产品、程序、服务的更多功能，您必须注册相应账户并且于注册页面上提供相关的个人信息。您可以按照易康码平台说明随时终止使用您的账户，我们将会依据本协议规定保留或终止您的账户。

You do not need to register an account to browse E-Wellness ID platform. However, some functions, products, programs and services require you to register for an E-Wellness ID account. If you wish to use more functions of the E-Wellness ID platform, products, programs and services, you must register with the corresponding account and provide relevant personal information on the registration page. You may terminate your account at any time in accordance with the instructions of E-Wellness ID platform, in which case we shall retain or terminate your account in accordance with the terms of this Agreement.

 

• 您必须承诺和保证：

You must undertake and guarantee that:

 

• 用户须对注册信息的真实性、合法性、有效性承担全部责任；用户不得冒充他人，不得利用他人的名义发布任何信息；不得恶意使用注册账户导致其他用户误认；否则我们有权立即停止提供服务，您独自承担由此而产生的一切法律责任。

you shall take full responsibility for the authenticity, legality and validity of the registration information and shall not use pseudonyms,  release any information in the name of others or use the registration account maliciously to misrepresent other users. Otherwise, we shall have the right to immediately stop providing services and you shall bear all legal liabilities arising therefrom.

 

• 您使用与易康码平台、产品、程序、服务的行为必须合法，您必须为自己注册账户下的一切行为负责，包括您所发表的任何内容以及由此产生的任何结果。用户应对其中的内容自行加以判断，并承担因使用内容而引起的所有风险，包括因对内容的正确性、完整性或实用性的依赖而产生的风险。易康码无法且不会对因用户行为而导致的任何损失或损害承担责任。

You must use the E-Wellness ID platform, products, programs and services legally, and be liable for all actions under your registered account, including any content you publish and any results arising therefrom. You shall only make your own judgment on the content and bear all risks arising from the use of the content, including the risks arising from the reliance on the correctness, integrity or practicability of the content. E-Wellness ID cannot and shall not be liable for any losses or damages caused by your behavior.

 

• 您对您的登录信息保密、不被其他人获取并使用并且对您在易康码平台账户下的所有行为负责。您必须将任何有可能触犯法律的，未授权使用或怀疑为未授权使用的行为在第一时间通知我们，我们不对您因未能遵守上述要求而造成的损失承担任何责任。

you shall keep your login information confidential and prevent it from being obtained and used by others. You shall be liable for all your actions under your account of E-Wellness ID platform. You must notify us immediately of any possible violation of the law, unauthorized use or suspected unauthorized use, in which case we shall not be liable for any losses caused by your failure to comply with the same.

 

• 您通过易康码平台发表的信息为公开的信息，其他第三方可以通过本平台获取用户发表的信息，用户对任何信息的发表即认可该信息为公开的信息，并单独对此行为承担法律责任；任何用户不愿被其他第三人获知的信息都不应在本平台上进行发表。

any information which you publish on E-Wellness ID platform shall be public information, which any third parties can obtain and publish in the same way. You shall deem the information to be public when publishing such information and bear legal responsibilities for such behavior. You shall not publish on the platform any information which you merely wish to keep to yourself.

 

• 您必须知悉并确认：

You must understand and confirm that:

 

• 我们因业务发展需要，单方面对本服务的全部或部分服务内容在任何时候有不经任何通知的情况下变更、暂停、限制、终止或撤销我们服务的权利，用户需承担此风险。

in light of business development, we have the right to change, suspend, restrict, terminate or cancel our services at any time without notice for part or all of our service for which you shall bear the resulting risk.

 

• 我们提供的服务中可能包括广告等活动，用户同意在使用过程中显示我们及关联方与第三方供应商、合作伙伴提供的广告以及其他活动。

our services may include advertisements or other activities. When using our service, you agree to display such advertisements or activities provided by us, our affiliates, third-party suppliers or partners.

 

• 我们有权自行全权决定以任何理由，对违反有关法律法规或本协议约定，或侵犯、妨害、威胁任何人权利或安全的内容，或者假冒他人的行为，有权依法停止传输任何相关内容，并有权依其自行判断对违反本协议的任何人士采取适当的法律行动，包括但不限于，从服务中删除具有违法性、侵权性、不当性等内容，终止违反者的成员资格，阻止其使用我们全部或部分服务，并且依据法律法规保存有关信息并向有关部门报告等。

we shall have the right, at our sole discretion, to stop publishing any content for any reason violating relevant laws and regulations or this Agreement, infringing on or threatening the rights or safety of any individuals, or using pseudonyms. We shall have the right to take legal action against any person in violation of this Agreement at our sole discretion, including without limitation removing illegal, infringing and improper content from our services, terminate the membership of violators, prevent them from using all or part of our services, retain such information in accordance with law and report it to the competent authorities.

 

• 我们的某些产品服务必须在联网的情况下才可以使用，您必须自行负担个人上网或第三方收取的通讯费、信息费等相关费用。

some of our products and services can only be used when you are connected to the Internet. You shall bear such communication and information expenses to be charged by any third parties.

 

• 隐私政策。在任何时候，您的信息均依照易康码平台的隐私政策处理，具体条款可在下文《用户隐私政策》查阅，其与本协议效力等同且是不可分割的一部分。

Privacy policy. Your information shall be processed at any time in accordance with the privacy policy of E-Wellness ID platform, the specific provisions of which can be found in the Privacy Policy below and which constitutes an integral part of this Agreement.

 

2. 用户内容

User Content

 

• 用户内容是指该用户下载、发布或以其他方式使用易康码产品、程序、服务时产生的所有内容（例如：您的信息、图片或其他内容）；您是您的用户内容唯一的责任人，您将承担因您的用户内容披露而导致的您或任何第三方被识别的风险。

The user content refers to all content (such as your information, images or other content) generated when the user downloads, publishes or otherwise uses E-Wellness ID products, programs and services. You are the only individual liable for your user content and shall bear the risk that you or any third party may be identified as a result of disclosing your user content.

 

• 您通过上传、发布或其他方式使用您在本平台与易康码产品、程序、服务的用户内容时，即视为自动授权且承诺和保证您有权授权给我们不可撤销的、非独家的、免版税的全球许可，用以：

When you use the user content of your products, programs and services of the platform and E-Wellness ID by uploading, publishing or other means, you automatically authorize us and undertake and guarantee that you have such right to authorize us an irrevocable, non exclusive, royalty free global license for:

 

• 仅为向您提供本平台与易康码产品、程序、服务或改进本平台与易康码产品、程序、服务之目的，复制、发行、公开展示、制作衍生作品、将其纳入其他作品或以其他方式使用您的用户账户（排除您的个人信息）；并授予上述事项的转让许可；

copying, distributing, displaying, producing derived works and incorporating them into other works or otherwise using your user account (excluding your personal information) for purposes of providing you with the platform and the products, programs, services or improving the platform and the products, programs, services as well as granting the transfer license for the above matters;

 

• 仅为向目标接收者提供个人信息之目的，复制、发行您的用户内容中的私人信息；

copying and distributing personal information in your user content only for purpose of providing personal information to the target recipient; and

 

• 您同意不可撤销的、放弃的（导致被放弃）关于您用户内容的道德权利和归属的声明。

You agree to an irrevocable, waived (caused to waive) statement regarding the moral rights and attribution of your user content.

 

3. 用户权利及义务

User Rights and Responsibilities

 

• 合法使用本平台的权利；

The right to use the platform legally;

 

• 在您所有的移动通信设备上下载、安装、使用易康码产品、程序、服务的权利；

The right to download, install and use the E-Wellness ID products, programs and services on all your mobile devices;

 

• 易康码账号的所有权归易康码所有，基于账号安全性考虑，禁止使用他人的手机号、邮箱地址注册易康码账号。您完成申请注册手续后，获得易康码账号的使用权，该使用权仅属于初始申请注册人，禁止赠与、借用、租用、转让或售卖。易康码因经营需要，有权回收用户的账号；

E-Wellness ID shall own the account of E-Wellness ID. Account security forbids using others’ mobile phone number and email address to register an E-Wellness ID account. Upon completing the registration, you will obtain the right to use an E-Wellness ID account, which shall be owned by the initial applicant only and which shall not be gifted, lent, rented, assigned or sold. If necessitated by commercial reasons, E-Wellness ID shall have the right to recover a user’s account number;

 

• 您有权更改、删除在本平台上的个人资料、注册信息及发布内容等，但需注意，删除有关信息的同时也会删除任何您储存在系统中的文字和图片。用户需承担该风险；You shall have the right to change or delete the personal data, registration information and published content on this platform. However, deleting such information will also delete any text and images which you have stored in the system for which you shall bear the risk; and

 

• 您有责任妥善保管注册账户信息及账户密码的安全，您需要对注册账户以及密码下的行为承担法律责任。用户同意在任何情况下不使用其他成员的账户或密码。在您怀疑他人在使用您的账户或密码时，您同意立即通知易康码。

You shall be responsible for the security of your registered account information and password and shall bear legal responsibility for any activity under your registered account and password. You agree not to use the accounts or passwords of other members under any circumstances. When you suspect that someone else is using your account or password you agree to notify immediately E-Wellness ID.

 

• 权利限制：

Limitation of Rights:

 

• 您不得对本平台内容或易康码产品、程序、服务（包括但不限于内容或产品中的广告或赞助内容）进行任何形式的许可、出售、租赁、转让、发行或做其他商业用途；

You shall not license, sell, lend, assign, distribute or engage in other commercial purposes for the content of E-Wellness ID platform or its products, programs, services (including without limitation the advertisements or sponsorship in the products);

 

• 您不得以创建相同或竞争服务为目的访问本平台或使用易康码产品、程序、服务；

You shall not access the platform or use E-Wellness ID products, programs and services for purposes of creating the same or competitive services;

 

• 除非法律明文规定，否则您不得对本平台或易康码产品、程序、服务（包括但不限于内容或产品中的广告或赞助内容）的任何部分以任何形式或方法进行复制、发行、再版、下载、显示、张贴、修改、翻译、合并、利用、分解或反向编译等；

Unless otherwise expressly provided by law, you shall not copy, distribute, reprint, download, display, post, modify, translate, merge, utilize, decompose or reverse-compile any part of the platform or E-Wellness ID products, programs, services (including without limitation content, advertisements or sponsorship in the products) in any form or method;

 

• 您已同意通过上传、发布或以其他方式使用本平台或易康码产品、程序、服务，在使用过程中，您将承担因违法违规行为所造成的风险而产生的全部法律责任；

You have agreed to upload, release or use the platform or E-Wellness ID products, programs and services in other ways. When using them, you shall bear all legal liabilities arising from illegal behaviors;

 

• 您已同意不在本平台或利用易康码产品、程序、服务从事下列行为：

You have agreed not to engage in the following activities on the platform or by using the products, programs and services of E-Wellness ID:

 

• 上传或发布电脑病毒、蠕虫、恶意代码、故意破坏或改变计算机系统或数据的软件；

upload or release computer viruses, worms, malicious codes, software that intentionally corrupt or alter computer systems or data; and

 

• 未授权的情况下，收集其他用户的信息或数据，例如电子邮箱地址等；

collect other users’ information or data (e.g. email address) without authorization;

 

• 禁用本平台的网络连接给本平台造成过度的负担或以其他方式干扰或损害网站服务器和网络链接；在未授权的情况下，尝试访问本平台、服务器或本平台的网络链接；

Disable the network connection of the platform to cause excessive burden to the platform or otherwise interfere with or corrupt the website server and network link; attempt to access the platform, server or network link of the platform without authorization; and

 

• 干扰、破坏其它用户正常使用本平台或易康码产品、程序、服务。

Interfere with or corrupt other users’ normal use of the platform or E-Wellness ID products, programs and services.

 

4. 损害赔偿

Indemnities

 

• 您已同意无害的使用本平台和易康码产品、程序、服务，避免易康码因下述行为或相关行为遭受来自第三方的任何投诉、诉讼、损失、损害、责任、成本和费用（包括但不限于律师费）：您使用本平台和易康码产品、程序、服务的行为；您的用户内容；您违反本协议的行为。

You have agreed to innocuously use the platform and E-Wellness ID products, programs and services to avoid any complaints, lawsuits, losses, damages, liabilities, costs and expenses (including without limitation attorney fees) from a third party due to the following or related behaviors: your use of the platform and E-Wellness ID products, programs and services; your user content; or your breach of this Agreement.

 

• 用户内容是指该用户下载、发布或以其他方式使用本平台与易康码产品、程序、服务时产生的所有内容（例如：您的信息、图片或其他内容）；您是您的用户内容唯一的责任人，您将承担因您的用户内容披露而导致的您或任何第三方被识别的风险。

User content refers to all content (e.g. your information, images or other content) generated when the user downloads, publishes or otherwise uses the platform and E-Wellness ID products, programs and services. You shall be the only individual liable for your user content and shall bear the risk that you or any third parties may be identified as a result of disclosing your user content.

 

• 您已同意，除非获得易康码书面同意，您不得在您与易康码共同对第三方提起的诉讼（如有）中单方和解；易康码将尽合理努力将此类诉讼、诉讼行为或进程通知您。

Unless you have obtained the written consent of E-Wellness ID, you have agreed that you shall not unilaterally settle a lawsuit (if any) jointly filed by you and E-Wellness ID against a third party; E-Wellness ID shall use its reasonable efforts to notify you of such lawsuit, action or process.

 

• 在任何情况下，易康码都不对您或任何第三方因本协议产生的任何间接性、后果性、惩戒性的、偶然的、特殊或惩罚性的损害赔偿承担责任。访问、使用本平台和易康码产品、程序、服务所产生的损坏计算机系统或移动通讯设备数据库的风险将由您个人承担。

Under no circumstances shall E-Wellness ID be liable to you or any third party for any indirect, consequential, punitive, incidental, special or punitive damages arising out of this Agreement. You shall bear the risk of your computer system or mobile device database being corrupted by accessing and using the platform and E-Wellness ID products, programs and services.

 

5. 免责声明

Disclaimers

 

• 易康码对不可抗力导致的损失不承担责任。

E-Wellness ID shall not be liable for any losses caused by a force majeure event.

 

• 如发生下述情形，易康码不承担任何法律责任：

E-Wellness ID shall not be liable for the outbreak of any of the following circumstances:

 

• 依据法律规定或相关政府部门的要求提供您的个人信息；

provide your personal information as required by law or relevant government departments;

 

• 由于您的使用不当或其他自身原因而导致任何个人信息的泄露、或无法使用易康码平台；

disclose any personal information or enable to use E-Wellness ID platform due to your improper use or other reasons;

 

• 因网络服务特性，例如境内外基础电信运营商的故障、计算机或互联网相关技术缺陷、互联网覆盖范围限制、计算机病毒、黑客攻击等因素，其他合法范围内不能预见、不能避免并不能克服的客观情况等原因造成的服务中断、受阻等情形；

service interruption and obstruction caused by the nature of network service, such as failures of domestic and foreign basic telecommunication operators, computer or Internet related technical defects, Internet coverage restrictions, computer viruses, hacker attacks and other factors, and other unforeseen, unavoidable and insurmountable objective conditions within the legal scope;

 

• 使用易康码产品、程序、服务可能存在的来自他人匿名或冒名的含有威胁、诽谤、令人反感或非法内容的信息而招致的风险；

risks arising from the use of information containing threat, defamation, objectionable or illegal content that may be anonymous or pseudonymous from others;

 

• 用户之间通过本平台或易康码产品、程序、服务与其他用户交往，因受误导或欺骗而导致或可能导致的任何心理、生理上的伤害以及经济上的损失；

any psychological and physical injuries and economic losses caused or potentially to be caused by misleading or cheating when a user interacts with other users through the platform or E-Wellness ID products, programs and services; and

 

• 本平台和易康码产品、程序、服务明文声明，不以明示、默示或以任何形式对易康码及其合作方服务之及时性、安全性、准确性做出担保。

the platform and E-Wellness ID products, programs and services expressly declare that they do not guarantee the timeliness, safety and accuracy of E-Wellness ID or its partners’ services by explicit, implicit or any form of expression.

 

• 用户在本平台所发布的任何内容并不代表和反映易康码的任何观点或政策，易康码对此不承担任何责任。

any content published by a user on this platform shall not represent and reflect any opinion or policy of E-Wellness ID for which E-Wellness ID shall not be liable.

 

• 在任何情况下，易康码均不对任何间接性、后果性、惩罚性、偶然性、特殊性或刑罚性的损害承担责任，包括但不限于以下情形：

under no circumstances shall E-Wellness ID be liable for any indirect, consequential, punitive, incidental, special or punitive damages, including without limitation the following circumstances:

 

• 因用户使用易康码服务而遭受的经济损失；

any economic loss caused by the user’s use of E-Wellness ID service;

 

• 因用户丧失行为能力时第三方（包括但不限于救护人员或医疗机构代表）无法正常获取用户的易康码内信息而导致的损失；

any losses caused by any third parties’ (including without limitation medical personnel or representatives of medical institutions) inability to normally access the user’s information in E-Wellness ID when the user loses the capacity to act;

 

• 因无网络链接或网络不稳定而无法获取用户的易康码内信息而导致的损失；

any losses caused by the lack or instability of network connection and the inability to obtain the user’s information from E-Wellness ID; and

 

• 尽管本协议中可能含有相悖的规定，我们对您承担的全部责任，无论因何原因或何种行为方式，始终不超过您在注册期内因使用易康码服务而支付给易康码的费用（如有）。

notwithstanding anything to the contrary stated in this Agreement, our entire liability to you, for whatever reason or in whatever manner, shall not exceed the fees (if any) you have paid to use E-Wellness ID services during the registration period.

 

 

6. 知识产权

Intellectual Property

 

• 用户在易康码平台上发布的信息不得侵犯任何第三人的知识产权，未经具有相关所有权所有者之事先书面同意，用户不得以任何方式上传、发布、修改、传播或复制任何受著作权保护的材料、商标或属于其他人的专有信息。如果收到任何著作权人或其合法代表发绐易康码的适当通知后，我们将在审查的基础上移除该等侵犯他人著作权的内容。

The information published by a user on E-Wellness ID platform shall not infringe the intellectual property of any third parties. Without the prior written consent of the relevant owner, the user shall not upload, publish, modify, disseminate or copy any copyrighted materials, trademarks or proprietary information belonging to other people in any way. If we receive appropriate notice from any copyright owner or his/her legal representative, we will review and remove such infringing content.

 

• 易康码服务中所涉及的图形、文字或其组成，以及其他易康码标志及产品、服务名称，均为易康码之商标。未经易康码事先书面同意，用户不得将易康码标识以任何方式展示或使用或作其他处理，任何单位及个人不得以任何方式或理由对该商标的任何部分进行使用、复制、修改、传播、抄录或与其它产品捆绑使用销售。

The graphics, characters or their composition as well as other E-Wellness ID marks, products and service names involved in E-Wellness ID services are trademarks of E-Wellness ID. Without the prior written consent of E-Wellness ID, users shall not display or use E-Wellness ID logo in any way or conduct any processing, and no entities or individuals shall use, copy, modify, disseminate, record or bundle with other products any part of the trademark in any way or for any reason.

 

7. 修改

Modification

 

• 本协议容许变更。如果本协议有任何实质性变更，我们将通过您提供的联系方式或本平台的公告来通知您。变更通知之后，继续使用本平台和易康码产品、程序、服务则视为您已知晓此类变更并同意受条款其约束；

This Agreement may be modified. If there is any material change to this Agreement, we shall notify you through your contact information or an announcement on this platform. After the modification, the continued use of the platform and E-Wellness ID products, programs and services shall be deemed your awareness of such modification and your agreement to be bound by the terms;

 

• 易康码保留在任何时候无需事先通知而修改、保留或关闭本平台、易康码产品、程序或任何服务之权利；

E-Wellness ID reserves the right to modify, retain or shutdown the platform and E-Wellness ID products, programs or any services at any time without prior notice; and

 

• 您已同意易康码无需因修改、保留或关闭本平台、易康码产品、程序或其他服务的行为对您或第三方承担责任。

You have agreed that E-Wellness ID shall not be liable to you or any third party for any modification, retention or shutdown of the platform and E-Wellness ID products, programs or other services.

 

8. 终止

Termination

 

• 本协议自您接受之日起生效，在您使用本平台和易康码产品、程序、服务的过程中持续有效，直至依据本协议终止。

This Agreement shall come into force on the date of your acceptance, and shall continue to be valid during the time of your use of the platform and E-Wellness ID products, programs and services until it is terminated in accordance with the relevant provisions hereunder.

 

• 尽管有上述规定，如果您使用本平台和易康码产品、程序、服务的时间早于您接受本协议的时间，您在此知晓或应当知晓并同意本协议于您第一次使用本平台和易康码产品、程序、服务时生效，除非依据本协议提前终止。

Notwithstanding the above, if you use the platform and E-Wellness ID products, programs and services earlier than your acceptance of this Agreement, you shall understand and agree that this Agreement shall come into force when you first use the platform and E-Wellness ID products, programs and services, unless it is terminated in advance in accordance with the relevant provisions hereunder.

 

• 我们可能会：依据法律的规定，保留您使用本平台、易康码产品、程序、服务、或者本平台账户的权利；无论是否通知，我们将在任何时间以任何原因终止本协议，包括出于善意的相信您违反了我们的政策或本协议的其他规定。

We may: in accordance with law, reserve your right to use the platform, E-Wellness ID products, programs, services or your account of the platform; whether or not notified, we shall terminate this Agreement at any time and for any reason, including believing in good faith that you have violated our policies or other provisions of this Agreement.

 

• 不受前款规定所限，如果用户侵犯第三人的版权且易康码接到版权所有人或合法代理人的通知后，易康码保留终止本协议的权利。

Without being restricted by the provisions of the preceding paragraph, if a user infringes the copyright of a third party and E-Wellness ID receives a relevant notice from the copyright owner or legal representative, E-Wellness ID shall have the right to terminate this Agreement.

 

• 一旦本协议终止，您的网站账户和使用本平台和易康码产品、程序、服务的权利即告终止。您应当知哓您的账户终止意味着您的用户内容将从我们的数据库中删除。易康码不因终止本协议对您承担任何责任，包括终止您的用户账户和删除您的用户内容。

Once this Agreement has been terminated, your website account and your right to use the platform and E-Wellness ID products, programs and services shall be terminated. You shall be aware that the termination of your account means that your user content will be removed from our database. E-Wellness ID shall not be liable for the termination of this Agreement, including the termination of your user account and the deletion of your user content.

 

• 任何本平台的更新版本或易康码产品、程序、服务的未来版本、更新或者其他变更将受到本协议约束。

Any updated version of the platform or any future version, update or other changes relating to E-Wellness ID products, programs and services shall be governed by this Agreement.

Feedback

 

• 您对易康码提出建议或反馈（统称为“反馈”），即视为您向易康码转让反馈的全部权利并同意易康码有权利以任何合理方式使用此反馈及其相关信息。我们将视此类反馈信息为非保密且非专有信息。

Your suggestion or feedback to E-Wellness ID (collectively “Feedback”) shall be deemed the transfer to E-Wellness ID of all your rights to Feedback and your agreement that E-Wellness ID has the right to use such Feedback and the relevant information in any reasonable way. We shall treat such Feedback as non-confidential and non-proprietary information.

 

• 您已同意您不会向易康码提供任何您视为保密和专有的信息。

You have agreed not to provide E-Wellness ID with any information that you consider confidential and proprietary.

 

• 我们将保留基于我们的判断检查用户内容的权利（而非义务）。无论通知与否，我们有权在任何时间以任何理由删除或移动您的用户内容。依据本协议的规定，我们有权保留或终止您的账户。

We reserve the right (not the obligation) to check user content based on our judgment. Whether notified or not, we shall have the right to delete or move your user content at any time and for any reason. In accordance with the provisions of this Agreement we shall have the right to retain or terminate your account.

Notice

 

• 您必须提供您最近经常使用的有效的联系方式。您所提供的联系方式无法使用或者因任何原因我们无法将通知送达给您而产生的风险，易康码不承担责任。本平台发布的公告通知及向您直接发送的通知毫无疑问地构成有效的通知。

You must provide valid contact information that you have frequently used recently. If the contact information provided by you cannot be used or for any reason, we shall not be liable for any notice that we are unable to relay onto you. The announcement notice issued by the platform and the notice sent directly to you undisputedly constitute a valid notice.

 

• 适用法：本协议适用加拿大法律。如果双方发生纠纷，应本着友好的原则协商解决; 如协商不成，应向易康码所在地的法院提起诉讼。

Governing law: this agreement is governed by Canadian law. Any dispute shall be settled through principles of friendly negotiations, failing which a lawsuit shall be filed to the court that has jurisdiction over E-Wellness ID.

 

• 独立性：若本协议中的某些条款因故无法适用，则本协议的其他条款继续适用，且无法适用的条款将会被修改以便其能够依法适用。

Independence: if certain provisions of this Agreement cannot be applied for some reason, the remaining provisions shall continue to apply and the inapplicable provisions shall be modified so that they can be applied according to law.

1. 本协议（包括用户隐私政策）是您和易康码之间关于本平台和易康码产品、程序、服务相关事项的最终的、完整的、排他的协议。

This Agreement (including the Privacy Policy) is the final, complete and exclusive agreement between you and E-Wellness ID in connection with the platform and E-Wellness ID products, programs and services.

 

1. 每部分的标题只为阅读之便而无任何法律或合同义务。

The headings of each part are for the convenience of reading and do not carry any legal or contractual obligations.

 

1. 除非易康码书面同意，您不得转让本协议所规定的权利义务。任何违反上述规定企图转让的行为均无效。

You may not transfer the rights and obligations set forth in this Agreement unless otherwise agreed in writing by E-Wellness ID. Any attempt to transfer in violation of the above provisions shall be null and void.
